Introduction
Welcome to ePlatform. These Terms and Conditions ("Terms") govern your use of our software and digital marketing services ("Services"). By accessing or using our website and Services, you agree to comply with these Terms.
User Responsibilities
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Compliance: You must comply with all applicable laws, including data protection and privacy regulations, when using our Services.
Respectful Conduct: Customers must treat ePlatform employees with respect. Abusive, harassing, or inappropriate behavior towards our staff will not be tolerated and may result in the immediate termination of your services without refund.
Intellectual Property
Ownership: All software, content, and materials provided by ePlatform are the property of ePlatform or its licensors. Users are granted a limited, non-exclusive license to use them for their intended purpose.
Restrictions: You may not reverse engineer, decompile, or otherwise attempt to extract source code from our software.
Use of Our Website and Services
Lawful Purposes: You may use our website and software only for lawful purposes and in accordance with these Terms.
Prohibited Conduct: You agree not to use our website and Services:
- To violate any applicable law or regulation.
- To engage in conduct that restricts or inhibits anyone's use or enjoyment of the website and software.
- To impersonate ePlatform, an employee, another user, or any other person or entity.
- To upload, transmit, or distribute any unlawful, defamatory, obscene, pornographic, or otherwise objectionable content.
- To transmit any malicious software or code, or interfere with the operation of our website and software.
Service Availability and Updates
Uptime Guarantee: We strive to maintain a high level of service availability but do not guarantee uninterrupted access.
Modifications: ePlatform reserves the right to modify or discontinue the Services with reasonable notice.
User Content
Responsibility: You are responsible for all content you upload or share through our Services. You must ensure it does not violate any laws or third-party rights.
License: By submitting any content, you grant ePlatform a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit such content.
Confidentiality
ePlatform respects the confidentiality of its users' data and information. We will use commercially reasonable measures to protect the confidentiality of any non-public information that you provide to us.
Refund and Cancellation Policy
Refunds: We do not offer refunds for our services. If you submit a cancellation request in writing before your next scheduled payment, we will not charge you for that payment.
Cancellations: All subscriptions are no-contract and clients can cancel with a minimum of 30 days' notice from their next billing date. Ensure all media assets, customer lists, and other data are transferred or removed before cancellation. Suspensions are limited to 90 days, after which billing resumes.
Limitation of Liability
To the maximum extent permitted by applicable law, ePlatform or its affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, or data.
Governing Law
These terms and conditions and any disputes arising out of or related to your use of our website shall be governed by and construed in accordance with the laws of Canada.
Changes to These Terms
We reserve the right to modify or replace these terms and conditions at any time. Material changes will be determined at our sole discretion.
Rates for Communication and AI Usage
To give you a sense, with just $10 USD, you can get roughly 385 call minutes, or 665 text segments, or 7145 emails. Here's a breakdown:
Call Minutes: $0.026/min to make and $0.017/min to receive
Phone Numbers: $2.30/month
Text Messages: $0.015/segment (160 characters per segment)
Conversation AI: $0.01-$0.03/message
Emails: $0.0014/email
Email Verifications: $0.002625/verification
Premium Workflow Actions: $0.0105/action
Content AI: $0.0945/1000 words and $0.063/image
Workflow AI: $0.0315/action
Please note: Communication & AI rates are billed in USD, while the software account subscription rates are in CAD.
Payment Terms
Fees and Payment: You agree to pay all fees associated with the Services in accordance with the pricing and payment terms specified at the time of purchase.
Late Payments: Late payments may result in the suspension or termination of Services. You are responsible for all costs of collection, including reasonable legal fees.
ePlatform Anti Spam Policy
At ePlatform, we are committed to ensuring that our communications are respectful and consent-based. This policy outlines our stance against unsolicited messages (spam) and the steps we take to prevent and address spam.
Definition of Spam
Spam refers to any unsolicited email, SMS, or other electronic communication sent without the recipient's consent. This includes messages sent to individuals who have not opted in to receive such communications from ePlatform or its clients.
Reporting Spam
If you receive an unsolicited message from ePlatform or suspect abuse, please report it to us immediately. Provide your contact details, the content of the message, and the time and date it was received. Reports can be sent to [email protected]
Enforcement of Anti-Spam Policy
Monitoring: ePlatform monitors outbound communications to ensure compliance with this policy. We track message details, including sender and content, to identify potential violations.
Consequences: Violations of this policy may result in warnings, service suspension, or termination of the client’s account. Repeated offenses can lead to permanent bans from using ePlatform's services.
Compliance: ePlatform adheres to all applicable state and national laws and regulations regarding unsolicited communications and spam.
Opt-Out/Unsubscribe
Recipients can opt out of receiving further communications at any time. To unsubscribe from specific lists, reply with "STOP" to the received message. To unsubscribe from all communications, reply with "STOP ALL". Alternatively, you can contact us at [email protected] for assistance.
Prohibited Actions
ePlatform strictly prohibits:
- The use of purchased, rented, or third-party lists without explicit consent from recipients.
- The sending of unsolicited messages (spam) in any form.
- Misleading or deceptive subject lines and content in communications.
Compliance with Regulations
ePlatform complies with the CAN-SPAM Act, GDPR, and other relevant regulations. We ensure that our practices meet legal standards for obtaining consent, providing opt-out mechanisms, and protecting user data.
Changes to This Policy
We may update this Anti-Spam Policy from time to time. We will notify you of any changes by posting the new policy on our website and, where appropriate, notifying you via email.
Affiliate Terms & Conditions
These terms and conditions ("Agreement") govern participation in the ePlatform Affiliate Program ("Program"). By participating, you ("Affiliate") agree to the following terms.
Affiliate Definitions
Affiliate: An individual or entity registered and approved by ePlatform to promote its products or services in exchange for commissions.
Sale: A completed purchase of ePlatform’s product or service via the Affiliate’s referral.
Commissions: A flat rate commission on referred customer’s monthly payments
Payouts: The transfer of earned commissions to the Affiliate.
Program Participation
By joining the Program, you agree to promote ePlatform’s products and services.
Commission Structure
Affiliates earn a flat 15% commission on referred customers' monthly payments. Commissions are paid out monthly, starting after the customer’s second payment is received. Commissions on eligible on ePlatform's Standard Plan only.
Payment Terms
Payouts are issued on the 1st (or soon after) of each month via email transfer.
Commissions become eligible after a one-month waiting period (i.e., after the customer’s second payment).
Affiliate Responsibilities
Keep your contact information current.
Promote ePlatform in an ethical and truthful manner.
Adhere to all advertising and promotional guidelines.
Marketing Guidelines
No spamming or sending unsolicited messages.
No misleading advertisements or false claims about ePlatform products.
Intellectual Property & Branding
Affiliates may use ePlatform’s brand and promotional materials solely for promoting the Program. All intellectual property rights remain with ePlatform.
Chargebacks
Commissions from chargebacks will be deducted from future payouts. If no future payouts are available, Affiliates must return the commission within 90 days of notice.
Tax Obligations
Affiliates are responsible for their own taxes related to commissions earned.
Data Protection & Privacy
Any personal data encountered (e.g., customer names, emails) must be handled in accordance with relevant privacy laws and regulations.
Termination
Both ePlatform and the Affiliate may terminate participation in the Program at any time. Upon termination, any pending commissions will be paid out as a final payout.
Indemnification
Affiliates agree to indemnify ePlatform against any claims arising from their actions or breach of these terms.
Force Majeure
Neither party will be liable for failure to perform due to events beyond their reasonable control, such as natural disasters, wars, or internet disruptions.
Governing Law
This Agreement is governed by the laws of Canada. Any disputes will be resolved through negotiation, and if unresolved, will be adjudicated in Alberta, Canada.
By participating in the ePlatform Affiliate Program, you agree to these terms and conditions.
